Legal structure and regulators

ING Groep N.V. (ING Groep), is a publicly-listed company, and is the parent of one main legal entity, ING Bank N.V. (ING Bank). ING Bank is the parent company of various Dutch and foreign banks.

ING Bank is directly supervised by the European Central Bank as part of the Single Supervisory Mechanism (SSM). The SSM comprises of the European Central Bank and national competent authorities of participating member states. The SSM is responsible for prudential supervision i.e. the financial soundness of financial institutions.

European Central Bank (ECB)

The ECB is responsible for specific tasks in the area of prudential supervision. De Nederlandse Bank (DNB) remains responsible for prudential supervision in respect of those powers that are not conferred to the ECB, which includes supervision on payment systems and financial crime supervision.

Autoriteit Financiële Markten

Autoriteit Financiële Markten, the other Dutch financial sector supervisor, is responsible for conduct of business supervision i.e. assessing the behaviour of players in the Dutch financial markets.

Articles of association

The articles of association of ING Groep are registered in the Commercial Register of Amsterdam, no.33231073. The articles were amended by deed executed on 12 May 2022 before professor mr. M. van Olffen, civil-law notary in Amsterdam.
