Supervisory Board
ING's Supervisory Board (SB) and its committees are identical for both ING Groep N.V. and ING Bank N.V. The SB supervises and advises the Executive Board (EB) and the Management Board Banking (MBB) and oversees the activities of ING. The SB is made up exclusively of outside directors.

Charter
The SB has drawn up a charter - valid for the Supervisory Boards of ING Groep N.V. and ING Bank N.V. (updated 31 Dec 23) - which includes its duties, powers and working methods and information on its relationships with the Executive Board, the shareholders and depositary receipt holders and the works councils.
Profile
The SB has drawn up a profile with the basic principles for its composition. It was last updated on 11 March 2022 and discussed at the general meeting in April 2022. All SB members, except for not more than one person, shall qualify as independent as defined in chapter 2.1.8 of the application of the Dutch Corporate Governance Code (see the Dutch Corporate Governance Code page).
